Agreement to Terms
By accessing or using Cortex Memory ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our service.
Description of Service
Cortex Memory provides persistent memory infrastructure for AI agents, including:
- Memory storage and retrieval APIs
- Semantic search capabilities
- Multi-agent coordination tools
- Hive Mode for shared memory
- Integration with Convex backend
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the service to store or transmit illegal, harmful, or offensive content
- Attempt to gain unauthorized access to the service or related systems
- Reverse engineer, decompile, or disassemble the service (except as permitted by open-source license)
- Use the service to spam, phish, or distribute malware
- Abuse rate limits or attempt to overload the service
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
Open Source License
Cortex Memory is open-source software licensed under the Apache License 2.0. You are free to use, modify, and distribute the software subject to the terms of that license. The full license text is available at:
User Accounts
To use certain features, you may need to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms.
Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Your data is stored in your own Convex instance, and you retain full ownership. We do not claim any rights to your data.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. Uptime and performance are provided on a best-effort basis. We may:
- Perform scheduled maintenance (with advance notice when possible)
- Temporarily suspend service for emergencies or security issues
- Update or modify features without prior notice
Intellectual Property
The Cortex Memory name, logo, and branding are trademarks of Cortex Memory. You may not use these marks without prior written permission, except as necessary to describe your use of the open-source software.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability or fitness for a particular purpose
- Accuracy, reliability, or availability
- Non-infringement of third-party rights
- Security or freedom from viruses
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORTEX MEMORY SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding $100 USD in aggregate
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless Cortex Memory from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason including:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment (if applicable)
- Extended inactivity
Upon termination, your right to use the Service will cease immediately. You may export your data before termination.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes via:
- Email notification
- Prominent notice on our website
- In-app notification
Continued use after changes constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Cortex Memory is registered, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation between parties
- Binding arbitration if negotiation fails
- Litigation only as a last resort
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cortex Memory regarding the Service.
